East West conducts thorough diligence for M&A targets. This is not a legal nor accounting due diligence. It does include a detailed review of manufacturing operations, including equipment lists, condition of equipment, an assessment of the manufacturing and quality processes, and people involved (senior executives, operators, maintenance, quality and other support personnel).

On the marketing and sales side, it includes a review of the distribution channels, sales agreements and effectiveness of the marketing and sales efforts, including identification of key customers and distributors. A supply chain review may include a review of the purchasing organization, viability of suppliers, costs, etc.

In addition to these items, our due diligence process includes a review of the ownership and organizational structure: Who are the people who own the company, what are their connections in industry and with government, where did them get the money to start the business, etc. Each due diligence is customized to the client's needs. As part of the due diligence, we review the acquisition target's Business Processes to identify 'gaps' or weaknesses in their business and execution capabilities which affect their competitiveness in the marketplace. Lastly, we will perform due diligence on their Information Technology capabilities, including IT integration and Global IT Strategy review.

East West has the resources and capabilities to conduct this Due Diligence in the US and Asia.

In addition to a full due diligence, East West offers a fast factory audit. This audit is usually one day in duration and involves visiting the factory facility, a description of the processes (manufacturing and quality), a discussion of the management personnel, a review of business licenses and quality certifications, etc. It is a good, inexpensive, way to get a quick assessment of an M&A target or supplier.
